These Terms of Service ("Terms") govern your use of Beowulf IDE software and services ("Service") provided by Beowulf Biostats ("Company," "we," "us," or "our"). By using our Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Beowulf IDE, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Beowulf IDE is a HIPAA-compliant Python integrated development environment designed for healthcare data analytics. The Service includes:

• Python code editor with IDE features
• AI-powered coding assistant (Claude integration)
• Data import and analysis tools
• Document generation capabilities
• HIPAA compliance features

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4. Subscription and Billing

4.1 Free Trial

New users receive a 7-day free trial with full access to all features. No credit card is required to start the trial.

4.2 Subscription Plans

After the trial period, continued use requires a paid subscription:

• Monthly Plan: $9.95 per month, billed monthly
• Annual Plan: $79 per year, billed annually

4.3 Cancellation Policy

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Cancellation takes effect at the beginning of your next billing cycle
• You retain full access to the Service until the end of your current billing period
• No refunds are provided for partial billing periods
• Any unused time in your current billing period will not be refunded

4.4 No Refunds

All subscription payments are non-refundable. We do not provide refunds or credits for:

• Partial subscription periods
• Unused subscription time
• Months or periods where you did not use the Service

We encourage you to make full use of the free trial before subscribing to ensure the Service meets your needs.

4.5 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer or decompile the software
• Share your account credentials with others
• Resell or redistribute the Service
• Use the Service to store or process data in violation of applicable laws
• Attempt to circumvent security measures

6. Data and Privacy

6.1 Your Data

You retain all rights to your data. The Service processes your data locally on your machine. Our AI features are designed to scrub Protected Health Information (PHI) before any data leaves your local environment.

6.2 HIPAA Compliance

While Beowulf IDE includes HIPAA compliance features, you are responsible for:

• Ensuring your use complies with HIPAA requirements
• Implementing appropriate safeguards for PHI
• Obtaining necessary authorizations for data processing

Enterprise customers may request a Business Associate Agreement (BAA).

7. Intellectual Property

The Service, including all software, documentation, and content, is owned by Beowulf Biostats and protected by copyright and other intellectual property laws. You receive a limited, non-exclusive license to use the Service subject to these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEOWULF BIOSTATS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless Beowulf Biostats from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting an update on our website or sending you an email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.
